Terms of Service

1. The service

Punctiva is a geofenced, biometric staff-attendance platform: it lets a company verify and record when its staff check in and out, and derive punctuality, overtime, shifts and reports from those records. We may improve, change or add to the service over time.

2. Accounts and eligibility

• You must provide accurate details and keep your login credentials secure. You are responsible for activity under your account.
• Admins are responsible for the staff accounts they create and the settings they configure (offices, geofences, rates, shifts).
• You must be at least 18 and use Punctiva only for a lawful workplace.

3. Acceptable use

You agree not to:

• attempt to defeat, spoof or falsify attendance (including fake locations or checking in for someone else);
• access another company's data, probe our security, or disrupt the service;
• upload unlawful content, or use the service to break any law; or
• resell or provide the service to third parties except as permitted by your plan.

4. Customer data and privacy responsibilities

As between us, a Customer's data belongs to the Customer. For staff attendance, location and biometric data, the Customer is the data controller and Punctiva is the processor. The Customer is responsible for having a lawful basis to collect this data, for informing its staff, and for obtaining any required biometric consent. Our handling of personal data is described in the Privacy Policy, which forms part of these terms. A data-processing agreement is available to Customers on request.

5. Plans, billing and payments

• Paid plans are billed in advance for the chosen period (monthly or yearly). Prices are shown before you subscribe.
• Payments are processed by Paystack; card details are handled by them, not us.
• Plan limits (staff count, offices, features) are enforced by the service.
• The Basic plan is free for the limits shown and provided "as is".
• On non-payment, an account may enter a grace period and then be suspended until settled, as described in-app.
• Except where required by law, fees already paid are non-refundable. You can cancel to stop future renewals.

6. Intellectual property

Punctiva, its software, branding and content are owned by Aisjeed Technologies LTD. We grant you a limited, non-exclusive, non-transferable right to use the service under these terms. You keep ownership of your own data.

7. Availability and "as is" disclaimer

We work to keep Punctiva available and reliable but do not guarantee it will be uninterrupted or error-free. To the fullest extent permitted by law, the service is provided "as is" without warranties of any kind. You are responsible for keeping your own records where the law requires it.

8. Limitation of liability

To the fullest extent permitted by law, Punctiva will not be liable for indirect, incidental or consequential losses, or for lost profits or data. Our total liability arising out of the service in any 12-month period will not exceed the fees you paid us for the service in that period.

9. Indemnity

You agree to indemnify Aisjeed Technologies LTD. against claims arising from your misuse of the service or your breach of these terms or of applicable data-protection law.

10. Suspension and termination

We may suspend or terminate access for non-payment, a breach of these terms, or to protect the service or other users. You may stop using Punctiva at any time. On termination, your right to use the service ends; we handle any remaining data as described in the Privacy Policy.

11. Governing law

These terms are governed by the laws of the Federal Republic of Nigeria, and disputes are subject to its courts.

12. Changes

We may update these terms; material changes will be posted here with a new date, and continued use means you accept them.
